Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Passforge (the “Service”), operated by Essiel Express LLC (“we”, “us”), a Florida limited liability company, USA. By creating an account, purchasing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority where you live) to purchase. The Service is not directed to children under 13, and we do not knowingly collect their data.

2. Educational use only: no guarantee of results

Passforge provides practice questions and mock exams for study purposes only. Scores, pass/fail indicators, and analytics are study estimates, not official results, and do not predict or guarantee performance on any real examination. We make no representation or warranty that using the Service will result in passing any exam.

3. No affiliation; trademarks

Passforge is an independent study tool and is not affiliated with, endorsed by, or sponsored by any certification body, including (without limitation) the BACB®, NCEES®, or AICPA. Exam names and trademarks are the property of their respective owners and are used only nominatively to describe the exam our materials help you prepare for.

4. Accounts

You are responsible for your account credentials and all activity under your account. Provide accurate information and keep it current. Notify us of any unauthorized use.

5. Subscriptions, billing & auto-renewal

Paid plans are billed through our payment processor (Stripe). Subscriptions automatically renew at the then-current price each billing period until you cancel. You may cancel anytime from your account (or by contacting [email protected]). Cancellation stops future renewals only. It does not end your current paid period: you keep full access until the end of the period you already paid for, and you will not be charged again. We disclose renewal terms before purchase as required by law.

6. Free trials & samples

Sample exams may be offered free and without an account. We may limit or withdraw free features at any time.

7. No refunds

All purchases are final and non-refundable, including subscription payments (initial and renewals) and one-time mock-exam purchases. When you cancel, you are not charged again and you continue to have full access for the remaining time in your current paid period. We do not issue refunds or prorated credit for the unused portion of any period. Where mandatory local consumer law (e.g., UK/EU statutory withdrawal rights) requires otherwise, those non-waivable rights still apply.

8. Acceptable use

You may not: share, resell, or redistribute our content or your account; scrape, copy, or bulk-download questions; use the Service to cheat on or reconstruct a real exam; reverse engineer the Service; or use it unlawfully. Content is licensed to you for personal, non-commercial study only.

9. Intellectual property

The Service, including the question bank, explanations, software, and design, is owned by us or our licensors and protected by IP laws. We grant you a limited, revocable, non-transferable license to use it for personal study. No other rights are granted.

10. Your content (reviews & reports)

If you submit reviews, comments, or question reports, you grant us a worldwide, royalty-free, perpetual license to use, display, and adapt that content (e.g., to show approved reviews or fix questions). You represent it is accurate and yours to share. We may moderate, edit, or remove content at our discretion and are not obligated to publish it.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that content is error-free or that the Service will be uninterrupted.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR EXAM OUTCOMES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

13. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your content, or your violation of these Terms.

14. Third-party services

Payments are processed by Stripe under its own terms and privacy policy. We are not responsible for third-party services.

15. Termination

We may suspend or terminate your access at any time for violation of these Terms or to protect the Service. You may stop using the Service at any time.

16. Dispute resolution: arbitration & class-action waiver

Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Miami-Dade County, Florida, and you and we waive any right to a jury trial or to participate in a class action, to the extent permitted by law. Either party may bring an individual claim in small-claims court instead. Nothing here limits mandatory consumer protections that apply where you live.

17. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules, except where mandatory consumer law in your country of residence applies. Venue lies in Miami-Dade County, Florida.

18. International use

The Service is operated from the United States and available worldwide. By using it from outside the US, you consent to the transfer and processing of your information in the US and other countries, as described in our Privacy Policy. You are responsible for complying with your local laws.

19. Changes

We may update these Terms; the “Last updated” date will change and continued use means acceptance. Material changes will be notified where required.
